Terms of Service.

Thank you for considering our branding and website company for your needs. Please review the following terms of service:

1. Scope of Services We will provide branding and website services in accordance with the specifications outlined in the proposal agreed upon by both parties. Any changes to the specifications must be agreed upon in writing via email.
   

2. Payment Terms Payment terms will be outlined in the proposal. Jump is an ongoing subscription based service. We require the first months payment in full before work begins, and then regular ongoing monthly payments. Late payments may result in a delay in the suspension of the live website. Payments include website development, website hosting and marketing maintenance fees.
   

3. Intellectual Property All intellectual property created by us in connection with the project will remain our property until payment is received in full. Upon receipt of payment, all intellectual property rights will transfer to you. This will occur after 12 months.
   

4. Confidentiality We will keep all information shared with us during the course of the project confidential. We will not disclose any information to third parties without your consent.
   

5. Warranty We warrant that all work performed under the agreement will be of good quality and free from defects. If any defects are found within 30 days of completion of the project, we will make reasonable efforts to correct them.
   

6. Liability We will not be liable for any indirect, special, or consequential damages arising from the project, including but not limited to lost profits, lost data, or business interruption. Our liability to you will be limited to the total fees paid by you to us for the project.
   

7. Termination Jump may terminate the agreement for any reason upon written notice to the other party. In the event of termination, you will be responsible for paying for the agreed contracted term of 12 months.
   

8. End of Contract At the end of the 12 month contract, the client will continue to receive the exact same Jump services but will no longer be in contract and can leave at any time. If the client chooses not to continue then all property will be handed over to the client. Website hosting with Jump will end and it will be at the clients responsibility and cost to ensure their website stays live.
   

9. Governing Law This agreement will be governed by and construed in accordance with the laws of the state in which we are located.
   

10. Entire Agreement This agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.
